PLANO, Texas, January 23, 2012 – ViewCast Corporation (OTCBB: VCST), a developer of industry-leading solutions that help companies deliver video to broadband and mobile networks, today announced it had completed the sale of its VMp product line assets and business. Held in the Company’s subsidiary, Ancept Corporation, the VMp product line assets and business were sold to a subsidiary of Minneapolis-based Genus Technologies LLC, an enterprise content management product and services provider. In general under the transaction, ViewCast will receive earn-out payments that will continue to provide the Company revenue streams. In addition, ViewCast will continue to market jointly with Genus the VMp product line as a digital media management solution for its customers and channels.
ViewCast President and CEO John Hammock said the sale of the VMp product line, a software based digital asset management solution, was an integral part of his new strategic plan for the Company to focus on and expand its core product lines, Osprey® capture cards and Niagara® systems with new product introductions and new market opportunities.

Hammock noted that the increased Company focus afforded by the VMp transaction is augmented by the recently completed private placement by the direct personal investment by a group of investors including Hammock, four other board members and Chief Financial Officer, Laurie Latham.

PLANO, Texas, January 4, 2012 – ViewCast Corporation (OTCBB: VCST), a developer of industry-leading solutions for the transformation, management and delivery of digital media over enterprise, broadband, and mobile networks, today announced that it had entered into subscription agreements with 12 private investors, of which six were members of the ViewCast Board of Directors or executive officers , for the purchase of an aggregate of 6,618,068 shares of ViewCast common stock for an aggregate purchase price of $745,000. The purchase price of common stock was $0.1125707 per share, which was the weighted average closing price for the five trading days immediately prior to December 27, 2011. The investors also subscribed for warrants exercisable into 6,618,068 shares of ViewCast common stock at an exercise price of $0.1238278 per share, which will expire on December 31, 2014.

PLANO, Texas, December 15, 2011 – ViewCast Corporation (OTCBB: VCST), a developer of industry-leading solutions for the transformation, management and delivery of digital media over enterprise, broadband, and mobile networks, announced today that its Board of Directors has promoted John Hammock to President and Chief Executive Officer and named him to the Board of Directors, effective immediately. In connection with Hammock’s promotion to Chief Executive Officer, George Platt will relinquish his role as interim Executive Chairman, but will remain Chairman of the Board of Directors. The Company also announced that Christina K. Hanger and Lance E. Ouellette have been named to the Board of Directors, increasing the total number of board members to seven.
Hammock, who has more than 20 years of sales leadership and business development experience in the networking market and video streaming industry, joined ViewCast in 2010 as Vice President of Sales and has been serving as President and Chief Operating Officer since July 2011.
Hammock has assembled a new sales and marketing organization with Howard Barouxis as Vice President of Sales and Mike Galli as Vice President of Marketing. Under Hammock’s leadership, the sales and marketing team is leading ViewCast’s evolution into a more commercially-oriented Company focused on large national and international customers.

Hanger, now a business consultant, combines strategic vision with strong operational experience. Previously as COO and CFO for venture capital-backed Worksoft, Inc., she led the company through a major growth initiative and brought it to profitability. As the former senior vice president of Americas Operations at Hewlett-Packard, Hanger led operations and IT supporting more than $30 billion in annual revenue in North and South America. Earlier, she directed worldwide supply chain operations at Compaq Computer. Hanger began her career at IBM in various engineering and manufacturing positions. She has a Bachelor of Science degree in mechanical engineering from Virginia Tech and an MBA from Wake Forest University.
Ouellette is Executive Vice President, Asset Management for H.T. Ardinger & Son Co., a privately-held import/wholesale and investment conglomerate, and manages a multimillion dollar portfolio of equity, bond and real estate holdings. In this role, Ouellette provides strategic management advice and oversight for investments and operations in pharmaceutical development, computer hardware and software development and sales, environmental technology and non-profits. He has a Bachelor of Arts degree in economics from Rollins College. He is the stepson of H.T. Ardinger, Jr., a principal stockholder of the Company.
Hammock is a former Vice President of Americas Sales for Kasenna Inc., a publicly traded provider of software to telecommunications, cable, enterprise and consumer electronics manufacturers. Mr. Galli will also drive new product development, market research and analytics, competitive intelligence, public relations, events and corporate communications.
Mr. Galli has more than 20 years of marketing experience in the video industry, including extensive knowledge of IPTV systems, Video on Demand, CDN systems, DRM, online advertising, streaming video, enterprise software, as well as service provider and direct-to-consumer video business models. His diverse technology background is the result of working for a variety of companies ranging from computer networking and Internet to software and telecommunications.

He has built and managed sales, engineering and operations teams and worked closely with customers in the broadcast, broadband, cable, web and on-demand industries. Most recently, Barouxis spent three years as Vice President and General Manager, Americas for ATEME, an international broadcast company based in France that specializes in video compression encoding/decoding solutions.

First Quarter Financial Results
In the 2011 first quarter, revenues increased one percent to $3.71 million from $3.68 million in the prior year period. Operating expenses for the first quarter 2011 were $2.9 million compared to $2.7 million for the prior year period. Operating loss for the first quarter 2011 was $(750,000) compared to a loss of $(284,000) for the year-earlier period as the company continued to make investments in new sales and marketing infrastructure and initiatives both domestically and overseas.
Net loss for the first quarter 2011 was $(791,000) compared to a loss of $(311,000) in the first quarter 2010. After preferred dividends adjustment, the first quarter 2011 net loss per share applicable to the common shareholders was $(0.03) per share on a fully diluted basis compared to net loss per share applicable to the common shareholders of $(0.01) per share on a fully diluted basis in the first quarter 2010.
EBITDA (earnings before interest, taxes, depreciation and amortization) for the 2011 first quarter was $(578,000), compared to $(54,000) in the 2010 first quarter. EBITDA is a non-GAAP measure that ViewCast management believes can be helpful in assessing the Company's overall performance and considers as an indicator of operating efficiency and earnings quality. Giuhat, 50, has more than 20 years of senior management experience with a variety of technology and telecommunications companies including, most recently, Irving, TX-based Nexstar Broadcasting Group, one of the nation's top 20 broadcasting companies. Starting in 2008, Giuhat was Senior Vice President and CTO at Nexstar and helped define the company's digital media technology strategy. He also defined, deployed and supported the corporate IT infrastructure and data centers used for application hosting and video streaming.
"Adrian has the breadth of background, technical expertise, and strong performance record that make him a key addition to our executive team. Specifically, his background in software development and digital asset management complements our current strategic focus and gives us added applicable expertise as we continue along our technology roadmap towards more integrated hardware and software solutions ," Stoner said. During 2000 to 2003 he served as SVP of Engineering for DG Systems (now DG FastChannel), a leader in content distribution of digital media to TV and radio stations across the US and Canada, where he was responsible for overall company technical direction, including the development of the first web-based clearance product in the advertising industry. Prior to 2000, Giuhat held senior level product development and management roles with ADC-Teledata, an Israeli telecom company, and with DSC-Alcatel USA, a multi-national telecom provider company.
Giuhat holds bachelor's and master's of science degrees in Computer Science from the University of Bucharest and an MBA from Ottawa University.

From 2000 to 2004, Hammock was Vice President of Major Accounts for Columbia, MD-based Corvis Corporation, a publicly-traded optical network solutions provider that later became Broadwing Corporation. TVTI has deployed numerous Osprey 700e-equipped video/data capture systems into the field for use onsite at clients' home games, with great results. The New York Yankees are using a TVTI system to record and archive four angles of every pitch in HD. Using four Dell® Precision workstations equipped with Osprey 700e HD cards, the Yankees' video production team records approximately 300 pitches per game, yielding 1200 raw HD AVI files for each home game. The video files are later compressed, organized, and archived for rapid retrieval.
Back at TVTI headquarters, racks of Osprey 700e-equipped Dell Precision workstations are employed to record MLB and NHL game feeds throughout the day. TVTI software tools are used to segment these feeds into individual 'event' files and synchronize these files with player-specific statistical data provided by third-party partners. The video is then distributed to clients, who will use it to analyze their competitors in the days preceding a game.
